1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Ocupey property management platform, including our website, applications, and related services (collectively, the "Service"), provided by Ocupey Ltd ("we", "us", "our"), a company registered in England and Wales.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3. Account Registration
To use certain features of the Service, you must create an account. When you create an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4. Subscription and Fees
4.1 Subscription Plans

4.2 Payment
You agree to pay all fees associated with your chosen subscription plan. Fees are charged in advance on a monthly or annual basis, depending on your selected billing cycle. All fees are quoted exclusive of VAT, which will be added where applicable.
4.3 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.
4.4 Refunds
Fees are generally non-refundable. However, if you cancel within 14 days of your initial subscription (or upgrade to a paid plan), you may be entitled to a refund in accordance with consumer protection laws.
5. Use of the Service
5.1 Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes related to property management.
5.2 Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Infringe the intellectual property or other rights of any third party
- Interfere with or disrupt the Service or servers connected to the Service
- Attempt to gain unauthorised access to any part of the Service
- Use the Service to transmit any malware, viruses, or other harmful code
- Scrape, data mine, or use automated means to collect information from the Service
- Resell, sublicense, or redistribute the Service without our prior written consent
- Remove or alter any proprietary notices on the Service
6. Your Data
6.1 Ownership
You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a licence to use Your Data solely to provide and improve the Service.
6.2 Data Protection

6.3 Data Export
You may export Your Data at any time through the Service. Upon termination of your subscription, you will have 30 days to export Your Data before it is deleted.

7.1 Client Money
If you use our client money management features, you acknowledge that you remain responsible for compliance with client money protection requirements under applicable regulations. We provide tools to help you manage client money but do not hold client money on your behalf.
7.2 Payment Processing
Payment processing services are provided by third-party payment processors. Your use of these services is subject to their terms and conditions.
8. Intellectual Property
The Service, including all content, features, and functionality, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or other brand features.

The Service may integrate with third-party services (such as accounting software, property portals, or payment processors). Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability or accuracy of third-party services.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
We do not provide legal, tax, or financial advice. You should consult appropriate professionals regarding compliance with property management regulations, tax obligations, and other legal requirements.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Termination
